Advocate Khalid Khan is a seasoned professional with over 33 years' extensive legal, governance, ESG, compliance, and strategic transaction experience, capable of providing independent oversight, sound judgment, and stakeholder-focused guidance to support sustainable growth, strong governance, and long-term value creation. Advocate Dr. Khan is a fellow member of the Institute of Company Secretaries of India, member of Chartered Governance Institute (UK & Ireland) and has done his doctorate in corporate governance. 

He has successfully served on the Boards of Directors of several group legal entities, ensuring operational transparency, financial integrity, and full regulatory compliance across financial, legal, and environmental dimensions. Known for a strong ethical compass, stakeholder management, and driving long-term sustainable growth through people and process excellence.

Core Competencies

Advises Boards of Directors and senior management on a broad spectrum of strategic, legal, regulatory, and governance matters, contributing to the development of robust governance frameworks, effective risk management systems, and strong compliance cultures.

Extensive experience in corporate transactions, including mergers and acquisitions, divestitures, joint ventures, business restructurings, public offerings, rights issues, offers for sale, and open offers arising from global acquisition transactions. Most recently, played a significant leadership role in the successful Initial Public Offering (IPO) of Tenneco Clean Air Limited, valued at approximately ₹4,040 crore, overseeing complex legal, governance, regulatory, and stakeholder management aspects of the transaction.

Having served as Whole-time Director of a listed company and General Counsel of a global automotive group for over a decade, he has acquired significant experience in board governance, regulatory oversight, shareholder engagement, enterprise risk management, compliance, and corporate stewardship, including on the boards of joint venture companies.

ESG, Sustainability & Stakeholder Governance

Actively engaged in advancing Environmental, Social and Governance (ESG) principles within corporate decision-making and governance frameworks, with valuable experience overseeing environmental compliance, workplace safety, ethical business conduct, human capital development, diversity and inclusion, stakeholder engagement, and sustainability-driven governance practices. As a member of Corporate Social Responsibility Committees, closely involved in the oversight of initiatives relating to education, healthcare, skill development, community welfare, livelihood enhancement, and women's empowerment.

Ethics, Compliance & Risk Oversight

Extensive experience in ethics and compliance oversight, including whistleblower mechanisms, internal investigations, anti-corruption compliance, workplace conduct matters, and risk management frameworks. As a member of Ethics & Compliance Committees and Internal Complaints Committees, has contributed significantly to strengthening organizational integrity, accountability, and ethical leadership, and has led awareness and training programmes on the FCPA, UK Bribery Act, and competition law.
