Insolvency Resolution Services

Corporate Restructuring has always been a niche area at CP and hence since the inception of the Insolvency & Bankruptcy Code in December 2016, it has dedicated a research oriented multidisciplinary team of professionals for its Insolvency Resolution Practice. The team, with its immense experience in revival and restructuring of companies, within this short span of time has successfully advised more than 25 corporate insolvency resolution process. The Team has developed the website www.insolvencycode.com and has come out with 3rd edition of publication ‘Compendium on Insolvency and Bankruptcy Code, 2016’, Foreword for which has been written by Dr. M.S. Sahoo, Chairperson, IBBI.

The Team with a panel of Insolvency Resolution Professionals aims to provide comprehensive services to all the stakeholders viz. Corporate Debtors, Financial Creditors, Operational Creditors and Resolution Professionals and Resolution Applicants under insolvency resolution processes.

 

For Financial Creditor

  • Strategizing, conceptualizing, collation of data/information, drafting of the necessary
    documents/petitions and appearance before the National Company Law Tribunal for admission of
    Petition etc.
  • Planning and strategizing with the secured creditors in relation to their dues against the defaulting
    Corporate Debtor and advising appropriate action.
  • Appearance before the NCLT/NCLAT for contesting the admission of the Corporate Debtor for the
    Corporate Insolvency Resolution Process.
  • Filing of claims on behalf of the FC.
  • Representation on behalf of FC in the meetings of Committee of Creditors.

For Operational Creditor

  • Planning and strategizing with the unsecured creditors or operational creditors in relation to heir dues against the defaulting Corporate Debtor and advising appropriate action
  • Strategizing, conceptualizing, collation of data/information, drafting of the necessary documents/demand notices/petitions and appearance before the National Company Law Tribunal for admission of Petition etc.
  • Appearance before the NCLT/NCLAT for contesting the rejection of the commencement of the Corporate Insolvency Resolution Process against the Corporate Debtor.
  • Filing of claim on behalf of OC including workmen, present and past employees.


For Interim Resolution Professional

  • Assistance to the IRP in performance of its duties including issuing public notice for calling of claims, verification of claims, day to day management of the affairs of the company, constitution of committee of creditors, preparation of IM, etc.
  • Assistance in calling and convening of meetings and filing before various authorities etc.


For Resolution Professional

  • Assistance to the RP in performance of its duties as provided under the Insolvency Code and regulations issued thereunder.
  • Advisory and opinion in relation to documentation/contractual arrangements to be entered into by the IRP with other external consultants/advisors, regarding admission of claims of the creditors, in examining the eligibility of the prospective Resolution Applicants for submission of resolution plan etc.


For Resolution Applicant

  • Strategizing, conceptualizing, planning, advisory, negotiations, techno economic feasibility studies,
    identification of strategic advisors etc.
  • Advising on distressed deal opportunities.


Advisory, Education & Training

  • Training & education of insolvency laws, reviewing creditors arrangements, agreements and transactions, terms of invoices, interest free advances, employee agreements etc.
  • Insolvency Health checkup, advising pending compliances, secretarial audit etc.
  • Planning and strategizing with the secured creditors in relation to their dues against the defaulting
    Corporate Debtor and advising appropriate action under the provisions of Insolvency and Bankruptcy Code, 2016 or SARFAESI Act.
  • Planning and strategizing with the unsecured creditors or operational creditors in relation to their
    dues against the defaulting Corporate Debtor and advising appropriate action under the provisions of Code.
  • Planning and strategizing, due diligence of the defaulting Corporate Debtor and advising appropriate
    action under the provisions of Insolvency an d Bankruptcy Code, 2016
  • Review the contracts and sub-contracts between Company and other parties and advise on their enforceability.
  • General advisory in relation to Insolvency and Bankruptcy Code, 2016 and related laws.
  • Preparing & filing claims, responses, queries in relation to the corporate insolvency resolution process


For Corporate Debtor

  • Planning and strategizing, due diligence of the defaulting Corporate Debtor and advising appropriate
    action under the provisions of the Code.
  • Secretarial due diligence and updating the records of the Corporate Debtor,
  • Identification of risks and defaults of the Corporate Debtor under various applicable laws,
  • Strategizing, conceptualizing, collation of data/information, drafting of the necessary
    documents/petitions and appearance before the National Company Law Tribunal for admission of
    Petition etc.
  • Appearance before the NCLT/NCLAT for contesting the admission of the Corporate Debtor for the
    Corporate Insolvency Resolution Process.
